1. Definitions:
The Client: The company or individual requesting the services of Wilding Web Solutions.
Wilding Web Solutions: The design company
The website: The clients website and all content
Hosting Service: Internet Service Provider
Servers: Hosting Service's computers
Web: World Wide Web
2. Authorisation
The named client is engaging Wilding Web Solutions, as an independent contractor for the specific web design project of developing and/or improving a web site, hereinafter referred to as web design project to be installed on the clients web space on a web hosting service's servers. The client hereby authorizes Wilding Web Solutions to access this account, and authorizes the Hosting Service to provide Wilding Web Solutions with full access to the client's account, and any other programs needed for this web design project that are included as part of the client's service agreement/level. The client also authorizes Wilding Web Solutions to submit the completed web design project to major Web Search Engines, in addition to other web directories and indexes.
3. General
Designing a web site to fully work in multiple browsers (and browser versions) can require considerable, extra effort. Wilding Web Solutions will endeavour to ensure that any development or designed website will function correctly on the server it is initially installed on and that it will function correctly when viewed in web browsing software:
Microsoft Internet Explorer versions 5 and up
Gecko based web browsers such as Firefox versions 3 and up
While Wilding Web Solutions will make every effort, always, to design a fully functional web site, we can offer no guarantee of correct function with all browser software
4. Assignment of web design project
Wilding Web Solutions reserves the right to assign subcontractors to this web design project to insure that the terms of this agreement are met as well as on-time completion.
5. Web Hosting
Whilst Wilding Web Solutions recommends hosting companies to host clients websites, no guarantees can be made as to the availability or interruption of this service. Wilding Web Solutions cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
Wilding Web Solutions reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also terminate the free hosting service should the necessity arise.
Hosting services are with Heart Internet. Wilding Web Solutions reserves the right to register and host with the most suitable company, however no responsibility can be assumed for any problems whatsoever arising form these choices. The site owner must abide by any such terms put forward by the hosting service.
6. Copyright and Trademarks
The client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Wilding Web Solutions for inclusion in the web design project are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend Wilding Web Solutions and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
7.Web Design Copyright
Wilding Web Solutions owns copyright to the finished web site design produced by Wilding Web Solutions. The client will be assigned rights to use the web design project as a web site, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Wilding Web Solutions and its subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios.
8. Website Maintenance
This agreement allows for minor web site maintenance to pages over a 30 day period, up to an average of one half hour per regular web site, including updating lines and making minor changes to a sentence or paragraph. It does not include updating replacing nearly all the text from a page with new text, major page reconstruction, new pages, navigation structure changes, attempted updates by client repairs. The period of 30 days begins on the date the clients web design site has been published to client's hosting service or 30 days from the date this agreement was signed, which ever comes first.
Changes requested by the client beyond those limits outlined above will be billed at an hourly rate of £35. This rate will also govern additional work authorised beyond the maximums specified above for such services as general Internet orientation education, marketing consulting, webpage design, editing, modifying product pages and databases in an online store, and art, photo, graphics services and helping clients learn how to use their own webpage editor.
9. Completion Date
Wilding Web Solutions and the client must work together to complete the web design project in a timely manner. We agree to work expeditiously to complete the web design project no later than 30 days after the client has submitted all necessary materials. If the client does not supply Wilding Web Solutions with complete text and graphic content for this web design project within 45 days of the date this agreement was signed, the entire amount of the agreement becomes due and payable. If the client still has not submitted all the required contents within 60 days after signing this agreement, an additional continuation fee of 10% of the total agreement price will be assessed for each month until the web design project is published or the client cancels the web design project in writing.
10. Payment of Fees
payments must be made promptly based on the schedule outlined here: A deposit of 35% is to be paid upon signing the contract. The remainder of the fee to be paid on completion of the website to the clients original, written specifications. If the total amount of this contract is less than £400, the total amount shall be paid upon signing the contract. In cases where the client has not secured web space with a hosting service by the time the website is completed, the website pages may be delivered to the client on disc or attached to an email message.
Once full payment is received for a website, it is assumed that the project has been completed to the clients satisfaction and no refunds can be offered. We do offer free updates for a period of 30 days after completion to allow for any final amendments that may be required, as outlined in section.
11. Legal Notice
Wilding Web Solutions does not warrant that the functions contained in the web design project will be uninterrupted or error-free. The entire risk as to the quality and performance of the web design project is with the client. In no event will Wilding Web Solutions be liable to the client or any third party for any damages, including, but not limited to service interruptions caused by Acts of God or any other circumstances beyond our control, any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this web design project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or site visitor's computer or Internet software, even if Wilding Web Solutions has been advised of the possibility of such damages.
Wilding Web Solutions will not be liable or become involved in any dispute between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. For example, any disputes re content or images that have been provided to us for inclusion on the website.
12. Privacy
Wilding Web Solutions will not share or sell any of your details with any third party companies, without your express permission. We will only email or contact you about work related matters.
